Terms of Sale (Public Offer)

Effective Date: June 14, 2026

This Public Offer Agreement ("Offer" or "Terms of Sale") constitutes an official proposal by ArminIndustrTrade OÜ to enter into a contract for the purchase and sale of goods under the terms set forth below.

1. General Provisions

1.1. This Offer governs the purchasing of goods through the online store at https://www.armin-industr-trade.shop/.

1.2. Placing an order on the Website or making a payment for goods implies full and unconditional acceptance of all terms of this Offer.

2. Subject of the Agreement

2.1. The Seller undertakes to transfer ownership of computer hardware, office equipment, and consumer electronics to the Buyer, and the Buyer undertakes to accept and pay for the goods in accordance with the terms of this Offer.

3. Ordering Procedure & Pricing

3.1. Prices for products are listed in Euros (EUR) on the Website.

3.2. The Buyer places orders through the Website interface by adding items to the cart and completing the checkout process.

4. Payment Terms

4.1. Payment is made via bank transfer or credit/debit card as presented during the checkout process.

5. Delivery

5.1. Delivery is carried out across Estonia and the Baltic region as outlined in our Delivery & Payment policy.

6. Warranty and Returns

6.1. The Seller provides a warranty for the goods in accordance with the applicable laws of the European Union and the terms posted on the Website at https://www.armin-industr-trade.shop/warranty-returns.

6.2. For legal entities, the warranty period is 12–36 months (depending on the product). For individuals, the warranty period is 2 years from the date of receipt.

6.3. The Buyer has the right to withdraw from the purchase without giving any reason within 14 calendar days from the date of receipt of the goods (for consumers – individuals in accordance with EU Directive 2011/83/EU). The return procedure is described at https://www.armin-industr-trade.shop/warranty-returns.

6.4. Returned goods must be unused, complete and in original packaging. Return shipping costs are borne by the Buyer unless the goods are defective or the Seller is at fault.

6.5. Refunds are made within 14 days from the date of receipt of the returned goods to the Seller's warehouse.

7. Rights and Obligations of the Parties

7.1. The Seller undertakes to:

• deliver the goods of proper quality and in accordance with the order;
• provide the Buyer with all necessary information about the goods;
• process returns and complaints in accordance with the law and these terms.

7.2. The Buyer undertakes to:

• provide accurate information when placing an order;
• pay for the goods in full and on time;
• accept the goods in accordance with the delivery terms.

8. Liability

8.1. The Seller is not liable for failure to perform or improper performance of obligations if this is due to force majeure, actions of third parties, or inaccurate information provided by the Buyer.

8.2. The Seller is not liable for any indirect damages or lost profits.

8.3. The Buyer is fully responsible for the correctness of the data provided when placing an order.

8.4. The Seller's total liability under any claim is limited to the price of the specific goods paid by the Buyer.

9. Privacy and Personal Data

9.1. By accepting this Offer, the Buyer gives consent to the processing of their personal data for the purpose of fulfilling the contract, as described in the Privacy Policy at https://www.armin-industr-trade.shop/privacy-policy.

9.2. The Seller processes personal data in accordance with the General Data Protection Regulation (GDPR) (EU) 2016/679.

10. Applicable Law and Dispute Resolution

10.1. This Offer and all contracts concluded on its basis are governed by the laws of the Republic of Estonia.

10.2. All disputes arising from or in connection with this Offer shall be resolved through negotiations. If no agreement is reached, the dispute shall be submitted to the competent court of the Republic of Estonia.

10.3. If any provision of this Offer is declared invalid, the remaining provisions shall remain in full force and effect.

11. Amendments and Termination

11.1. The Seller reserves the right to amend this Offer at any time. Amendments come into force from the moment they are published on the Website.

11.2. Contracts concluded before the amendments are performed on the terms that were in force at the time of conclusion.
